Job Description

The National Legal Aid Clinic for Women (NLACW) is a Project of the Law Association of Zambia (LAZ), which was established to provide affordable legal representation to women and children from marginalized social sectors.  The overall objective of the NLACW is to empower women by facilitating their access to legal rights by way of legal representation, counselling, legal and human rights education as a distinct but integral part of the women’s movement. As part of its continued commitment to transparency, accountability, and best practices, NLACW seeks to strengthen its governance framework through the revision of its Governance Charter and enhance the capacity of its Board and Management in corporate governance.

This consultancy directly contributes to Strategic Objective 4 of the NLACW 2025-2029 Strategic Plan, which aims to ‘’Strengthen institutional capacity to deliver quality services to women and children’’.  By reviewing and updating its governance instruments and equipping leadership with corporate governance skills, NLACW aims to invest in long term organizational effectiveness and resilience.

1.0.     OBJECTIVE OF THE CONSULTANCY

NLACW invites qualified consultants or consulting firms to submit Expressions of Interest for a consultancy to: –

(i)   Review and Update the NLACW Governance Charter to ensure alignment with current best practices, legal and regulatory requirements, and the strategic direction of the organization.

(ii)  Conduct a comprehensive training on corporate governance for Members of the Board and Management team.

2.0.     SCOPE OF WORK

The consultant will be expected to:

Review the existing Governance Charter and related governance documents.
Consult relevant stakeholders (LAZ and NLACW leadership).
Benchmark NLACW’s governance practices with local and international standards
Prepare a revised and practical Governance Charter
Facilitate a training session for the Board and Senior Management (approx. 2 days)
Provide a final consultancy report summarizing key findings recommendations, and training outcomes.

3.0.  DELIVERABLES

Inception report detailing methodology and work plan.
Revised Governance Charter.
Corporate Governance training materials.
Training workshop facilitation.
Certificates to participants.

4.0. DURATION

The consultancy is expected to be completed within 30 days from the date of contract signing.

5.0. QUALIFICATIONS AND EXPERIENCE

Proven experience in institutional governance and strategic leadership development, legal and institutional policy development.
Expertise in corporate governance training for NGOs or public-interest institutions.
Strong understanding of Zambian legal and regulatory frameworks applicable to NGOs.
Excellent facilitation and communication skills.
Experience working with legal aid institutions or access to justice programs is an added advantage.
Minimum 5 years’ consultancy experience in governance advisory or organizational development.

6.0.   SUBMISSION OF EXPRESSION OF INTEREST

Interested consultants must submit the following:

Cover letter expressing interest and availability
Consultant’s profile or firm’s company profile with detailed CV(s) of proposed personnel
Description of similar assignments (attach 2 references)
Proposed methodology and brief workplan
Indicative fee proposal in ZMW (inclusive of taxes and disbursements)
