JOB PURPOSE:
The Investor Relations and Governance Officer is responsible for managing and maintaining relationships with investors and analysts by ensuring that communication is made available to stakeholders about the financial performance of the company and monitoring market developments relevant to business performance to create a positive, consistent, and trustworthy image of and for the company. Furthermore, Investor Relations and Governance Officer is responsible for providing Corporate Governance support to the Investments Directorate by overseeing the performance of Representative Directors appointed to the investee companies. In addition, the Investor Relations and Governance Officer provides support to specific committees.
Key requirements
Communication
-
Provides feedback to management regarding shareholders’ and investor’s perception of ZCCM-IH in order to support long term shareholder engagement strategies.

Monitors operational changes through on-going contacts with company management and develops investor relations strategies based on these changes.

Maintains regular contact with the regulator and the stock exchange on all relevant matters to ensure compliance with statutory requirements

Develops, coordinates and participates in presentations to brokers, research analysts and the investment community.

In liaison with other Directorates, ensures that key corporate actions are communicated to the investor community on a timely basis.

Organises investor conferences and investor meetings to communicate ZCCM-IH’s strategy and other developments in the Company
Implementation
-
Develops and implements ZCCM-IH’s investor relations plan.

Develops, implements and monitors performance metrics for the investor relations function
Liaison
-
Serves as the key point of contact for the investment community.

Establishes and maintains relationships with stock exchange representatives.

Manage shareholder registry with the Company secretarial, transfer agents and sponsoring brokers.

Provide relevant information to the Corporate Affairs Unit relating to investor relations for publication on various social media platforms
Corporate Governance
-
In liaison with the Investment Directorate, Arrange for Pre-Board and Post Board sessions with Representative Directors and prepares reports.

Oversees the collation, filing and circulation of subsidiary and investee companies Board packs and other relevant reports.

Oversees the induction and ongoing support of the Representative Directors.

Oversees the annual performance assessment of the Representative Directors including the interaction with and reporting of the RDs to ZCCM-IH.

Arranges for Director Forums as needed and oversee the production of a report and action tracker

Provides secretarial services to committees
Research and Data Analysis and Collection

Undertakes regular stock market research and analysis and produces reports for management and the board to ensure that Directors are kept abreast with market issues impacting on ZCCM-IH.

Responsible for interpreting data related to the company that could affect shareholders, using internally sourced data such as the company’s quarterly financial statements and other external sources.

Responsible for the creation and storage of the company’s information database

Regularly reviews shareholder database and research on potential investors and devising strategies to reach them.

Undertakes research on governance trends
Reporting

Prepares comprehensive reports on a monthly, quarterly and annual basis.

Provides input into various company publications requiring communication with the investor community
Requirements:
a) Professional qualifications
GCE or Equivalent with Credits or Better in Five Subjects, Mathematics and English Included
Bachelor’s degree or professional qualification in Business, economics, finance, accounting and investor relations or related field
Professional membership
Master’s degree will be an added advantage

b) Minimum Relevant Pre-Job Experience:
4 years’ experience in a similar position
