Job Description

JOB PURPOSE

To provide strategic legal advice, managing transactional matters, and ensuring legal compliance within the complex landscape of mining and energy investments. The job holder is responsible for providing input into negotiation initiatives as support for transactions across the entire spectrum of commercial agreements. The holder also conducts research on instruction from the Legal Manager.

KEY RESPONSIBILITIES

Transactional Support:
• Provide well researched legal opinions and support for a range of transactions, including on mergers and acquisitions, joint ventures, and financing arrangements within the mining sector.
• Provide input into advice on all business operations relating to commercial transactions including policies, investments, and procedures.
• Provide input into the drafting and reviewing of transaction structure and related documentations (Equity investment, project finance, trade finance, corporate finance, among others.
• Provide support in conducting legal due diligence on proposed transactions.
• Provide input in the identifying, assessing, and summarizing legal, regulatory, commercial and operational risks in relation to all Transactions undertaken by ZCCM-IH and its Subsidiary.
• Provide draft advice on loan/finance agreements, common terms agreements, security documents, intercreditor agreements, supply contracts, guarantees (sovereign or corporate), power purchase             agreements and letters of support.
• Provide input in the compilations of precedents and best practice in negotiating and concluding complex commercial agreements and related matters.

Contract Drafting and Negotiation:

• Draft, review, and negotiate a variety of commercial agreements, including mining contracts, exploration agreements, and vendor contracts.
• Ensure contracts align with legal and business objectives.
• Negotiating and concluding complex commercial agreements and related matters.

Legal Compliance:

• Monitor changes in laws and regulations relevant to the mining and industry and liaise with Compliance and Risk Department on a regular basis

Due Diligence:
• Conduct legal due diligence for potential investments and business ventures.
• Provide comprehensive legal analysis and recommendations.

Risk Management:
• Identify legal risks associated with transactions and business operations.
• Develop strategies to mitigate legal risks and protect the company’s interests.

Documentation and Record Keeping:
• Maintain accurate and organized documentation of legal matters, transactions, and agreements.
• Ensure secure storage and retrieval of legal records.

Legal Advisory for Projects:
• Collaborate with project teams to provide legal support for mining and investment projects.
• Assess and address legal implications of project activities.

Litigation:
• Attend to In-house litigation as assigned.
• Engage with external counsel and stakeholders to achieve favourable outcomes.
• Provide input into negotiations with External Legal Counsel on fee structure and liaise with them on case management strategy as assigned.
• Provide input in developing strategies to resolve cases favorable and cost effectively.

• Provide input into the Department weekly, monthly, and quarterly reports.

External Stakeholder Engagement:
• Interact with external legal counsel, regulatory bodies, and industry stakeholders.
• Represent the company in negotiations and legal discussions.

• Any other duties as may be assigned to you from time to time such as handling ligation matters from time to time.

Job Requirements

QUALIFICATIONS, KNOWLEDGE AND SKILLS:

Grade Twelve or Equivalent with Credits or Better in Five Subjects, Mathematics and English Included.

Degree or equivalent Professional qualification in a related field

Admission to the Bar

Member of Legal Association of Zambia

RELEVANT EXPERIENCE REQUIRED:

Not less than 4 Years Work experience in a busy and complex work environment experience in a similar Position.
