Konkola Copper Mines (KCM) Plc a subsidiary of Vedanta Resources Limited, is one of the largest copper producers in Zambia. It operates mining and processing plants located in four districts namely Chingola, Chililabombwe, Kitwe and Nampundwe.
With an investment pledge of over $1 billion by Vedanta, KCM envisages to unlock key operations such as the Konkola Deep Mining Project (KDMP) in Chililabombwe and increase production to 300,000 tonnes of copper per year by 2030.

To support this vision, KCM would like to recruit an experienced and qualified individual for the following positions in the Legal Department;
SENIOR LEGAL OFFICER – AGREEMENTS AND GOVERNANCE
Job profile:
The incumbent is required to oversee the development, negotiation, and management of contracts and legal agreements, as well as ensuring Konkola Copper Mines Plc (KCM)’s adherence to governance, compliance, and regulatory requirements. This role combines expertise in corporate law, contract management, and corporate governance to support the company in mitigating legal risks and ensuring operational efficiency.
Main roles & responsibilities:

Lead the drafting, reviewing, and negotiating a wide range of agreements, including commercial contracts, service agreements, licensing agreements, joint ventures and supplier contracts.

Ensure that agreements are legally sound, protect KCM’s interests, and comply with relevant laws and regulations to minimize risks.

Oversee the entire lifecycle of agreements from negotiation through execution, performance monitoring, and renewal in consultation with user departments and Business Unit Heads

Advise senior management and other stakeholders on corporate governance best practices and ensure compliance with internal governance policies, regulatory requirements, and industry standards.

Develop and update internal policies and procedures related to legal agreements, governance, and compliance

Provide legal advice to internal stakeholders, including senior management on corporate governance, contractual obligations, and regulatory and licensing matters.

Review corporate governance structures and policies to ensure that they align with current legal and regulatory frameworks.

Manage and resolve disputes arising from contracts or governance-related issues, including negotiation, arbitration, or litigation if necessary.

Monitor and analyze evolving laws and regulations, advising the company on compliance strategies, design and execute comprehensive compliance programs to address industry- specific regulations.

Represent the company in interactions with government agencies, regulatory bodies, and industry associations, advocate for the company’s interests in relevant legislative and regulatory processes

Lead training sessions for internal teams on contract management best practices, corporate governance, and compliance requirements.

Supervise and mentor junior legal officers or legal assistants within the dispute resolution team.
Requirements and skills

Grade 12 School Certificate
-
A Law Degree from a recognized institution with at least 5 years of experience in a corporate legal environment, with a focus on agreements, contract management, and governance, perfecting agreements

Certification in Legislative Drafting will be an added advantage

Expertise in corporate governance, compliance, and contract law, experience with complex commercial agreements or regulatory environments is highly valued

Must be an advocate in the High Court for Zambia and a paid-up member of the Law Association of Zambia

Must have a deep understanding of commercial and contract law, and dispute resolution mechanisms;

Demonstrated knowledge and application of the energy, mining and extractive industry law, commercial law.

Strong ability to analyze legal issues and Commercial/ contract Clauses to form effective strategies in protecting KCM interests.

Strong business acumen and negotiation skills

Excellent written and oral communication skills, with the ability to present complex legal issues clearly to non-legal stakeholders.

Ability to juggle multiple priorities, meet deadlines, and manage high-pressure situations.

Ability to lead and mentor junior legal staff, guide business teams, and collaborate with cross- functional departments

Perform any other relevant functions as may be assigned.

Ability to draft legal documents.
